By accessing or using Spriggan AI's AI receptionist services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

These Terms constitute a legally binding agreement between you and Spriggan AI. Please read them carefully before using our Services.

Spriggan AI provides AI-powered receptionist services to healthcare providers. Our Services include:

• Automated phone answering and call handling
• Appointment scheduling, confirmation, rescheduling, and cancellation
• Prescription refill request processing
• SMS/text message notifications and reminders
• Insurance verification
• Billing reminders
• General office information and intake assistance

Our Services are provided to healthcare providers who, in turn, use them to communicate with their patients. As a patient, you may interact with our Services through your healthcare provider.

By providing your mobile phone number and opting in to receive text messages, you agree to the following SMS terms:

Spriggan AI operates in compliance with the Health Insurance Portability and Accountability Act (HIPAA) and other applicable healthcare regulations.

• We enter into Business Associate Agreements (BAAs) with all healthcare provider clients
• We implement appropriate safeguards to protect Protected Health Information (PHI)
• We maintain audit logs and access controls as required by HIPAA
• We train our personnel on HIPAA compliance requirements

Our Services are designed to assist healthcare providers in maintaining compliance with applicable regulations. However, healthcare providers remain responsible for their own HIPAA compliance obligations.

When using our Services, you agree to:

• Provide accurate and complete information
• Update your information if it changes
• Use the Services only for lawful purposes
• Not attempt to interfere with or disrupt the Services
• Not impersonate another person or entity
• Comply with all applicable laws and regulations

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, and software, are the exclusive property of Spriggan AI and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from any content without our express written permission.

No Medical Advice: Our Services are administrative in nature and do not provide medical advice, diagnosis, or treatment. Always consult with a qualified healthcare provider for medical concerns.

"As Is" Service: Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Service Availability: We do not guarantee that our Services will be uninterrupted, timely, secure, or error-free.

To the fullest extent permitted by law, Spriggan AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or other intangible losses, resulting from:

• Your use or inability to use our Services
• Any unauthorized access to or alteration of your data
• Any interruption or cessation of our Services
• Any errors or omissions in our Services

Our total liability for any claims arising from these Terms or your use of our Services shall not exceed the amount paid by you, if any, for accessing our Services during the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless Spriggan AI and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of our Services or your violation of these Terms.

You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that you are at least 18 years old.

We may terminate or suspend your access to our Services at any time, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last Updated" date.

Your continued use of the Services after any changes indicates your acceptance of the new Terms. We encourage you to review these Terms periodically.

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of our Services shall first be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
